Terms and Conditions
Welcome to Vitality Social Content, a service operated by Merge Forward, Inc. (“Vitality Social Content,” “we,” “us,” or “our”). By purchasing, accessing, or using any Vitality Social Content materials, templates, guides, or subscription content, you agree to these Terms of Service (“Terms”), which include important information about your rights, responsibilities, and limitations.

1. KEY POLICIES
REFUND POLICY
Because Vitality Social Content provides digital products and immediate access to downloadable and shareable resources, all sales are final. No refunds will be issued under any circumstances, including for partial months, unused time, accidental purchases, or failure to cancel before the next billing date.
By purchasing or subscribing, you acknowledge and accept this no-refund policy.
SUBSCRIPTION TERMS
Vitality Social Content operates on a monthly subscription model with no long-term commitment. Subscriptions renew automatically each month unless canceled.
Access + Delivery Method
The Service is delivered through our online client portal, where paid clients receive access to digital content, resources, templates, and other materials included with their subscription. Upon purchase, clients will receive instructions to create or access their account and log in to the portal.
Portal access is available only to active paying subscribers and may be modified, updated, or discontinued at our discretion as the Service evolves. Clients are responsible for maintaining the confidentiality of their account login information and are not permitted to share portal access with others.
Account Access + Security
To access the Service, clients may be required to create an account through our online portal. Clients are responsible for providing accurate account information and maintaining the confidentiality of their login credentials.
Portal access is provided for the individual subscriber only and may not be shared, transferred, or made available to any other person, business, or organization. Clients may not copy, distribute, resell, reproduce, or use any content, templates, resources, or materials provided through the portal for purposes outside of their own personal or business use as permitted by their subscription.
Clients are responsible for all activity associated with their account and agree to notify us promptly if they believe their account has been accessed without authorization or if their login information has been compromised.
We reserve the right to suspend or terminate portal access for accounts that violate these Terms, including unauthorized sharing of login credentials or misuse of protected content.
PAYMENT FAILURES & RETRY AUTHORIZATION
If a subscription payment fails, we reserve the right to retry the charge using the same payment method on file. If payment cannot be successfully processed after reasonable attempts, access to subscription materials may be paused until payment is resolved.
CANCELLATION POLICY
You may cancel your subscription at any time by emailing Hello@VitalitySocialContent.com from the email address used at checkout.
Cancellation requests must be received before your next billing date to prevent a future charge.
Once canceled, you will retain access through the end of your current billing period. Refunds are not provided for unused time. It is the customer’s responsibility to request cancellation.
INDIVIDUAL MEMBERSHIP USE (NO SHARING)
Each subscription is intended for use by one individual or one business account.
Your access includes templates and marketing resources meant for your own internal use. You may not share, resell, redistribute, or transfer materials to others.
Examples of prohibited sharing include:
Sharing links with non-subscribers
Sharing files with another office, team, or third party without an additional subscription
Agencies or social media managers using one subscription across multiple clients
If you need multi-user or multi-location access, please contact Hello@VitalitySocialContent.com for options.
Violation of this policy may result in immediate termination of access without refund.
2. ACCEPTANCE OF TERMS
By purchasing or using the Service, you agree to these Terms and our Privacy Policy. Continued use of the Service constitutes acceptance of any updates to these Terms.
3. ELIGIBILITY
The Service is intended for individuals aged 18 and older who are capable of forming a binding contract.
4. INTELLECTUAL PROPERTY & CONTENT LICENSE
Ownership of Content
All templates, designs, captions, copy, graphics, videos, educational materials, content calendars, marketing resources, and other materials provided through Vitality Social Content (collectively, “Content”) are owned by Merge Forward, Inc. or used under applicable licenses and are protected by copyright, trademark, and other intellectual property laws.
Purchasing or maintaining a Vitality Social Content subscription does not transfer ownership of the Content to the subscriber.
License to Subscribers
While a subscription is active, Vitality Social Content grants the subscriber a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access, customize, and use the Content for the subscriber’s own practice or business.
Subscribers may:
• Customize templates with their own branding, colors, logos, images, contact information, and practice-specific information.
• Edit captions and other written Content to accurately reflect their practice, services, and audience.
• Publish customized Content on their practice’s social media accounts, website, email marketing, digital advertising, and other marketing channels.
• Continue displaying Content that was properly customized and published during an active subscription after the subscription has ended.
One Subscription, One Practice
Unless otherwise expressly agreed to in writing, each subscription is licensed for use by one practice or business only.
Content, templates, Canva links, downloads, or other membership resources may not be shared with another practice, business, provider, agency client, or other third party.
Marketing agencies, social media managers, consultants, virtual assistants, employees, and contractors may assist the subscribing practice in customizing and publishing Content on its behalf, but they may not use the Content for themselves, for another client, or for another business.
A separate subscription or written license is required for each additional practice or business using Vitality Social Content.
Prohibited Uses
Subscribers may not:
• Sell, sublicense, redistribute, give away, or otherwise make the Content or editable templates available to another person or business.
• Share membership access, Canva template links, Google Drive links, downloads, or other subscription resources with unauthorized users.
• Use one subscription to create Content for multiple unrelated businesses or clients.
• Copy or compile Vitality Social Content materials to create or sell a competing template library, membership, content subscription, course, resource collection, or similar product or service.
• Claim ownership of the original Vitality Social Content templates, designs, copy, or other proprietary materials.
• Remove copyright, trademark, attribution, licensing, or proprietary notices where such notices are included.
• Upload, submit, or provide Vitality Social Content templates, captions, content libraries, or other proprietary materials to train, fine-tune, develop, or improve an artificial intelligence model, machine-learning system, content-generation platform, or similar technology.
Nothing in these Terms prevents a subscriber from using generally available AI tools to assist with customizing Content for their own authorized business use, provided the subscriber does not use those tools to reproduce, redistribute, extract, or build a competing library from Vitality Social Content materials.
Non-Exclusive Content
Vitality Social Content is a subscription-based content service, and the Content provided to subscribers is not exclusive.
The same or similar templates, captions, concepts, designs, images, or other Content may be provided to multiple subscribers, including subscribers operating in the same industry or geographic market.
A subscription does not provide exclusivity within any city, state, specialty, service category, or geographic territory.
Third-Party Assets
Certain Content may incorporate or link to third-party assets, including stock photography, fonts, graphics, video, music, Canva elements, or other licensed materials.
Use of those assets may be subject to the terms and licensing requirements of the applicable third-party provider. Subscribers are responsible for complying with any third-party license requirements that apply to their use of those assets, including requirements that may apply to paid advertising, commercial use, music, photography, or other media.
Vitality Social Content does not grant subscribers ownership of third-party assets and cannot grant rights beyond those permitted by the applicable third-party license.
Cancellation or Termination
When a subscription ends, the subscriber’s right to access the Vitality Social Content membership library, download new Content, use editable membership templates to create new materials, or otherwise access subscriber-only resources ends.
Content that was properly customized and published by the subscriber during an active subscription may remain published and continue to be used in the form in which it was previously created.
Cancellation does not grant the subscriber the right to retain, share, redistribute, resell, or continue creating new materials from Vitality Social Content’s editable templates or membership library.
If access is terminated because of unauthorized sharing, infringement, misuse, or another violation of these Terms, Vitality Social Content reserves the right to revoke the subscriber’s license and pursue any remedies available under applicable law.
Protection of Intellectual Property
Unauthorized copying, sharing, resale, redistribution, reproduction, or commercial exploitation of Vitality Social Content materials constitutes a violation of these Terms and may also violate applicable intellectual property laws.
The intellectual property protections, restrictions on redistribution and resale, and other obligations contained in this section survive cancellation or termination of the subscription.
5. MEDIA USAGE RIGHTS
Some materials may include stock assets or AI-generated visuals. These assets are provided for your marketing use in connection with your business.
You may not resell or redistribute any included media assets as standalone products or represent them as original creations.
6. DISCLAIMER (NO GUARANTEES)
Vitality Social Content provides educational and informational resources. We do not guarantee specific outcomes, including increased revenue, growth, engagement, or performance results. Your results depend on factors outside our control, including implementation, market conditions, and your business practices.
Nothing in the Service constitutes legal, medical, tax, or financial advice.
7. SUBSCRIBER RESPONSIBILITY, MEDICAL DISCLAIMER & LIABILITY
Vitality Social Content is a marketing content and template provider operated by Merge Forward, Inc. We are not a medical practice, healthcare provider, medical professional, legal advisor, or regulatory compliance consultant. Our templates, captions, graphics, educational materials, images, and other resources (collectively, “Content”) are provided solely as customizable marketing and educational resources for subscribers.
Subscriber Review and Responsibility
Subscribers are solely responsible for reviewing, editing, approving, and determining whether Content is appropriate for their individual practice, services, patients, audience, geographic location, and applicable laws and regulations before publishing or distributing it.
Vitality Social Content does not determine which treatments, products, medications, therapies, procedures, supplements, peptides, devices, or other services a subscriber should offer, recommend, prescribe, administer, promote, or discuss. This includes products or services that may be FDA-approved, used off-label, investigational, not approved by the FDA, or not evaluated by the FDA.
Each subscriber is responsible for ensuring that all statements, claims, disclosures, disclaimers, and marketing communications they publish are accurate, appropriately substantiated, and compliant with applicable federal, state, and local laws, professional standards, licensing requirements, advertising regulations, and platform policies.
Subscribers are also responsible for complying with the advertising and content policies of any platform on which they publish or advertise, including social media, search, and advertising platforms.
Medical and Regulatory Information
Vitality Social Content does not provide medical advice, make treatment recommendations, establish a provider-patient relationship, or make representations or warranties regarding the safety, effectiveness, suitability, regulatory status, or expected outcome of any treatment, product, medication, therapy, procedure, or service referenced in the Content.
Healthcare information, regulations, advertising requirements, platform policies, and treatment landscapes may change over time. Content reflects information reasonably available at the time it is created and is not intended to replace a subscriber’s independent professional, legal, medical, or regulatory review. Vitality Social Content has no obligation to ensure previously provided Content remains current after its original publication or delivery date.
Patient Information, Testimonials and Images
Subscribers are solely responsible for obtaining any patient authorizations, model releases, testimonial permissions, photo releases, or other consents required before incorporating patient information, photographs, videos, testimonials, before-and-after images, or other protected information into Content.
Subscribers are responsible for compliance with HIPAA and all other applicable privacy and confidentiality requirements.
Stock photography, licensed imagery, AI-generated imagery, models, and other illustrative media included in Vitality Social Content materials should not be represented as actual patients, actual treatment outcomes, or actual results unless the subscriber has independently verified that such representation is accurate and legally permissible.
No Guarantee of Marketing Results
Vitality Social Content does not guarantee any particular marketing or business result from the use of its Content, including increases in followers, engagement, leads, appointments, patients, revenue, sales, or business growth. Marketing results vary based on numerous factors outside our control.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VITALITY SOCIAL CONTENT AND MERGE FORWARD, INC., INCLUDING THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OF THE CONTENT OR SERVICES.
This includes, without limitation, claims arising from a subscriber’s publication or modification of Content; treatments, products, medications, therapies, procedures, or services provided or promoted by a subscriber; patient or consumer reliance on subscriber-published Content; adverse events or outcomes; regulatory or licensing actions; advertising or platform violations; or statements, claims, representations, or omissions made by a subscriber.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF VITALITY SOCIAL CONTENT AND MERGE FORWARD, INC. ARISING OUT OF OR RELATING TO THE SERVICE OR CONTENT SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY THE SUBSCRIBER TO VITALITY SOCIAL CONTENT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RESULTS.
Vitality Social Content makes reasonable efforts to create useful, responsible, and current marketing materials but does not warrant that Content will be error-free, appropriate for every subscriber, compliant with every jurisdiction or professional requirement, or suitable for every product, treatment, service, or marketing platform.
Indemnification
Subscribers agree to indemnify, defend, and hold harmless Vitality Social Content, Merge Forward, Inc., and their respective owners, officers, employees, contractors, and affiliates from and against claims, liabilities, damages, losses, judgments, costs, and reasonable attorneys’ fees arising out of or relating to:
- the subscriber’s use, modification, publication, or distribution of Content;
- products, treatments, medications, therapies, procedures, or services offered, promoted, prescribed, recommended, or provided by the subscriber;
- patient or consumer claims, injuries, adverse experiences, or disputes related to the subscriber’s products or services;
- the subscriber’s violation of applicable laws, regulations, professional requirements, advertising rules, privacy requirements, or platform policies; or
- the subscriber’s failure to obtain necessary patient authorizations, releases, permissions, or consents.
This indemnification does not apply to the extent a claim results from the gross negligence or willful misconduct of Merge Forward, Inc.
Merge Forward, Inc. will provide reasonable notice of any claim for which indemnification is sought. The subscriber agrees to reasonably cooperate in the defense of the claim. Merge Forward, Inc. reserves the right to participate in or assume control of the defense with counsel of its choosing, and no settlement imposing liability or obligations upon Merge Forward, Inc. may be entered into without its prior written consent.
Continuing Obligations
The responsibilities, disclaimers, limitations of liability, and indemnification obligations contained in this section will survive cancellation or termination of a subscription, including with respect to Content published or distributed during the subscriber’s membership.
8. PROHIBITED ACTIVITIES
When using the Service, you agree not to:
Share access links or materials with non-subscribers
Use materials for unlawful purposes
Misrepresent Vitality Social Content materials as your own proprietary library
Attempt to interfere with our systems, delivery, or operations
9. TERMINATION
We reserve the right to suspend or terminate access if we believe these Terms have been violated, including misuse or unauthorized sharing. In cases of termination for violation, no refunds will be issued.
10. CHANGES TO TERMS
We may update these Terms from time to time. Updates will become effective when posted or provided. Continued use after an update indicates acceptance.
